Contract

1. The First Party commits to completing the subject of the contract in full as specified by the Second Party.
2. All costs, including labor and installation, system setup, and equipment costs at the workshop, shall be borne by the First Party.
3. The First Party must stockpile and prepare all required materials for the project after receiving advance payment to mitigate price fluctuations. No price increase will be accepted after contract signing.
4. The First Party is obligated to hand over a guarantee check equivalent to the agreed amount simultaneously with the signing of this contract, which will remain with the Second Party until the end of cooperation and full fulfillment of obligations.
5. The First Party is required to hand over a guarantee check equivalent to twice the value of the materials to the Second Party simultaneously with the receipt of the material amount.
6. Except for force majeure conditions, the First Party must receive the value of the material invoice declared by the Second Party.

7: Obligations of the Second Party

1. The Second Party commits to providing the necessary coordination to facilitate the execution of the project during the contract period.
2. The Second Party is obligated to coordinate with the First Party’s personnel and must obtain written permission from the Second Party’s director or supervisor for all matters. In case of violation, the Second Party must return the materials to the First Party after confirming receipt of all project materials.
3. The Second Party is obligated to provide all required materials for the project execution and to coordinate with the First Party regarding the materials delivery.

8: Implementation Method

1. Each project consists of the following phases:
– Phase 1: Needs assessment and project review.
– Phase 2: Announcement of the project execution timeline.
– Phase 3: Approval of pre-sent invoices and price announcement.
– Phase 4: Announcement of project price considering market fluctuations by the First Party for contract signing.

9: Representatives of the Parties

1. Mr. Reza Hajati is appointed by the First Party to ensure proper execution of this contract.
2. [Name] is appointed by the Second Party to oversee the implementation of the project, request and resolve issues, and approve and deliver work.

10: Force Majeure

In case of an occurrence that is beyond the control of the parties and is unavoidable (e.g., natural disasters, wars, strikes, widespread diseases), leading to the suspension or nullification of contracts, the affected party shall notify the other party in writing. This will not be considered a breach of contract.

11: Other Provisions

1. Both parties will exert all their scientific, technical, and executive capabilities to implement this contract and will not withhold any effort.
2. In case of any dispute arising during the execution of this contract, a meeting will be held within a week with the presence of the signatories to resolve the issue amicably without hindering the continuation of work.

12: Guarantee of Implementation and Copies of the Memorandum

1. In case of unwillingness to cooperate from either party due to lack of project progress, the remaining duration can be terminated by mutual agreement, documented and approved by both parties.
2. If the Second Party fails to fulfill its obligations within the agreed timeframe, the First Party is obliged to complete the ongoing projects and is allowed to transfer the remaining projects to third parties or complete them through third parties, deducting the cost from the First Party’s share.
3. Any violation of the terms of this contract by either party will result in a fine equivalent to three times the damages incurred.
4. All members of the Board of Directors and the managing director are jointly and severally liable for the obligations of their respective companies.
